Differences between Sdn Bhd & Berhad
Private Limited Company (Sendirian Berhad/Sdn Bhd):
- Smaller in scale; shares can only be privately issued to specific persons (such as family, friends, or internal parties)
- Number of directors: At least 1
- Number of shareholders: 1 to 50
Public Limited Company (Berhad/Bhd):
- Larger in scale; shares can be publicly issued to the general public
- Number of directors: At least 2
- Number of shareholders: 1 to No upper limit
Common Points:
- Minimum paid-up capital: RM1 or more
- Both can be converted into each other
