1. Number of directors At least two directors are required
2. For conversion from an Sdn Bhd
- Sdn Bhd registration is faster – simply wait for the Certificate of Incorporation
- After receiving the certificate, submit the Section 189 Statement in Lieu of Prospectus
- Then submit Section 190
- Business operations and financing can only commence after receiving the Section 190(3) notice (Notis Perakaunan)

- Member resolutions for a Berhad must be approved at a shareholders’ meeting
