Role of Directors:
- Responsible for managing the company’s affairs
- Act as representatives (agents) of the company
5 Actions Directors Must Not Undertake
- Misuse company assets
- Improperly obtain or disclose company secrets through their position

Abuse their authority to the detriment of the company
- Use their position to gain personal business opportunities
- Engage in business that competes with the company
5 Qualifications to Become a Director:
- At least 18 years old
- Not bankrupt
- Mentally sound
- No convictions or imprisonment in the past five years

At least one director must ordinarily reside in Malaysia (if there is only one director, that director must ordinarily reside in Malaysia)

- Directors, as agents of the company, must act in the company’s best interests
- A company, as a legal entity, cannot act on its own; it must act through its directors
