How to change Sdn Bhd to LLP

Conversion Steps

1. Register a new LLP
2. Transfer all assets and liabilities from the Sdn Bhd to the LLP
3. Apply to SSM to close the original Sdn Bhd

Pre-Conditions for Conversion

1. Shareholders of the Sdn Bhd remain the same as partners in the LLP
2. The Sdn Bhd is capable of settling all its debts
3. The Sdn Bhd has no outstanding obligations to government agencies (e.g., taxes, fines)
4. Publish a notice in the newspaper to inform the public of the decision to convert to an LLP
5. All creditors agree to the company’s conversion into an LLP
