Reasons Why a Sdn Bhd Cannot Apply for Strike-Off

The company has outstanding debts (fines, arrears, etc.)
- Directors are blacklisted by SSM, or SSM-related fees remain unpaid → The above may prevent a successful Strike-Off application
Prerequisites for Applying to Close the Company

The company is in a loss-making or has not been operating → Strike-Off may be applied if all debts have been cleared

Debts exceed assets → Must obtain written consent from creditors or proceed with dissolution via Winding-Up

Other conditions for Strike-Off are not met → Dissolution can only be carried out through Winding-Up
⚠️ Note: Being lossmaking or inactive alone does not prevent a Strike-Off application. The key factors are whether debts have been cleared and whether directors have fulfilled their obligations.
